Terms of Service

Last updated September 19, 2026

These Terms govern use of RHN360 Provider OS, the RHN360 Care Network Agent Gateway (API and MCP server), and related websites (the "Service") provided by RHN360 Group LLC ("RHN360", "we"). By using the Service, or by connecting an AI agent to it, you agree to these Terms.

1. The Service

RHN360 provides operational software for home- and community-based care providers, agencies, and family employers: scheduling, provider matching, credential tracking, Electronic Visit Verification (EVV) workflows, documentation support, and billing preparation. The Agent Gateway lets authorized AI agents query the Service and submit shift requests on a user's behalf.

2. Not clinical, legal, or certified advice

The Service assists with operational readiness and documentation. It does not provide clinical, medical, or legal advice and does not make clinical, eligibility, or authorization decisions. EVV workflows are "EVV-ready" and designed to the requirements of 12VAC30-60-65; RHN360 is not a state-certified EVV vendor unless expressly stated. Customers remain responsible for verifying requirements with DMAS, managed care organizations, fiscal agents, and their own compliance advisors.

3. Accounts and API keys

You are responsible for activity under your account and any API key issued to you. Keep keys confidential; do not share them with unaffiliated parties. We may suspend or revoke keys that are abused, leaked, or used contrary to these Terms.

4. Human approval of agent requests

Shift requests submitted through the Agent Gateway create a pending request only. No provider is notified and no shift is booked until a human administrator approves the request inside RHN360. Agents and their operators must not represent a request as booked until the Service reports it as approved.

5. Acceptable use

You agree not to: access the Service without authorization or beyond the scope of your key; attempt to retrieve client health information the Service does not expose; circumvent rate limits or security measures; submit false, misleading, or fraudulent requests; use the Service to discriminate unlawfully; or resell access without our written consent.

6. Customer data

Customers own the data they enter. We process it to provide the Service as described in our Privacy Policy. Customers are responsible for having the rights and consents needed to enter and process that data, including any health information.

7. Demonstration environment

Parts of the Service may run on a demonstration dataset of fictional providers, clients, and records. Demonstration data must not be relied on for real care decisions, billing, or compliance reporting.

8. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may modify or discontinue features, the API, or the MCP server with reasonable notice where practical.

9. Disclaimer and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, RHN360 IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive (data, disclaimers, liability) survive termination.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Virginia.
